In the event that any provision of this Agreement conflicts with the law under which the Agreement is construed or if any provision is held invalid by a court of competent jurisdiction, such provision will be restated to reflect as nearly as possible the original intentions of the parties in accordance with applicable laws and the remainder of the Agreement shall remain in full force and effect. If either party fails to insist upon or enforce the performance by the other party of any provision of this Agreement, or to exercise any right under the Agreement, such failure shall not be construed as a waiver or relinquishment to any extent of such party's right to assert such provision or right in that or any other instance.

This Agreement and any express additional terms (which will be identified as such when posted on the Site) constitute the entire understanding between the parties as to the subject matter, and supersedes any prior agreements or understandings.
