Mix together first 6 ingredients. Put 2/3 of mixture in 8x12 greased pan and pat down.
Cook filling until thick, then let cool. Spread over mixture in pan. Sprinkle the 1/3 crumb mixture reserved on top and pat down. Bake 25-30 min. at 350.
